Introduction
This Terms of Service Agreement ("Agreement") governs the subscription and use of Tennisium Club Manager ("Service"), a comprehensive tennis club management system operated by RADZON MÜHENDİSLİK TEKNOLOJİ SANAYİ TİCARET LİMİTED ŞİRKETİ ("Company"). By subscribing to any subscription plan or using the Service, you ("Subscriber" or "Club") agree to be bound by these terms.
Service Description
Tennisium Club Manager provides a complete club management solution including:
• Club member management and administration
• Court reservation and rental system with credit management
• Tennis academy and student management
• ELO rating and point tracking system
• Tournament organization and management
• Debt tracking, automatic debt creation, and inventory management
• Mobile and in-app notification system
The specific features available to your club depend on your selected subscription plan.
Subscription Plans and Pricing
The Service offers the following subscription plans:
1-Week Demo - $0.00
• Up to 30 club members
• Up to 2 courts
• Up to 30 academy students

Silver Club - $30.00/Month (Including 20% VAT)
• Up to 100 club members

Gold Club - $59.00/Month (Including 20% VAT)

Platinum Club - $120.00/Month (Including 20% VAT)

All prices are subject to change. The Company reserves the right to modify subscription prices with at least 30 days' advance notice to existing subscribers. Price changes will take effect at the next billing cycle.
Free Trial Period
New subscribers may be eligible for a free trial period as determined by the Company (typically 7 days, but may vary from 7 to 90 days). During the trial period, subscribers have access to the features specified in the 1-Week Demo plan. The Company reserves the right to modify trial duration at its discretion. No payment information is required during the trial period. Upon trial expiration, clubs must select and pay for a subscription plan to continue using the Service.
Payment Terms and Subscription Renewal
a) Manual Payment Required: Unlike automatic renewal systems, Tennisium Club Manager requires manual payment at the end of each subscription period. No credit card information is stored by the Company.
b) Payment Due Date: Payment must be completed before the current subscription period expires to maintain uninterrupted service access.
c) Late Payment and Service Suspension: If payment is not received by the subscription expiration date, your subscription will be automatically suspended, and access to the club management features will be restricted. Only the club administrator will retain limited access to the payment dashboard to reactivate the subscription.
d) Service Reactivation: To reactivate a suspended subscription, the club administrator must log in to the dashboard and complete the payment for the next subscription period. Service access will be restored immediately upon successful payment.
e) Accepted Payment Methods: Payment is processed through our secure payment partner. All major credit cards and supported payment methods are accepted as displayed during checkout.
Plan Changes (Upgrade/Downgrade)
a) Plan Changes Allowed: Subscribers may upgrade or downgrade their subscription plan at any time during their active subscription period.
b) Effective Date: Plan changes take effect immediately upon payment confirmation.
c) Remaining Days Credit: When changing plans, any remaining days from your current subscription period will be added to your new subscription period. For example, if you upgrade with 6 days remaining, your new subscription will be active for 1 month plus 6 days.
d) Pricing on Plan Change: The new subscription price will apply immediately, and the next billing cycle will be based on the new plan's pricing.
e) Feature Access: Upgraded plans provide immediate access to additional features. Downgraded plans may result in restricted access to certain features, and data exceeding the new plan's limits may become inaccessible until you upgrade again.
Subscription Cancellation and Data Retention
a) Cancellation Process: Subscriptions are automatically cancelled if payment is not made by the expiration date. There is no separate cancellation process required.
b) Access After Cancellation: Upon subscription expiration, access to all club management features will be suspended. Only the club administrator will retain limited access to reactivate the subscription.
c) Public Data Visibility: After subscription expiration, your club's public-facing data (such as club profile and public information) will remain visible for a limited period but will eventually be hidden from public access.
d) Data Deletion: If a subscription remains inactive for more than 3 months, the Company reserves the right to permanently delete all club data, including member records, reservations, academy data, and historical information. This deletion is irreversible.
e) Data Backup Responsibility: Subscribers are responsible for maintaining their own backups of critical data. The Company is not liable for any data loss resulting from subscription cancellation or expiration.
Refund Policy
a) No Refunds: All subscription payments are non-refundable. Subscriptions are provided on a prepaid basis, and no refunds will be issued for partial subscription periods, early cancellation, or unused features.
b) Exceptions: Refunds may be considered only in the following exceptional circumstances:
• Technical issues preventing access to the Service, reported within 48 hours of payment and not resolved within 7 business days
• Duplicate charges or billing errors
• Unauthorized charges reported within 7 days with supporting documentation
c) Refund Requests: To request a refund under exceptional circumstances, contact our support team at contact@tennisium.com with your transaction details, club information, and a detailed explanation of the issue.
Subscriber Rights and Obligations
a) Accurate Information: The Subscriber is responsible for providing accurate and up-to-date club information, including contact details, billing information, and club member data.
b) Account Security: The Subscriber is responsible for maintaining the confidentiality of login credentials and must not share administrative access with unauthorized individuals.
c) Lawful Use: The Service must be used solely for lawful purposes and in compliance with all applicable laws and regulations. Prohibited uses include:
• Fraudulent activities or misrepresentation
• Unauthorized access to other clubs' data
• Attempts to circumvent payment systems or security measures
• Harassment or abuse of other users or club members
• Any activity that violates intellectual property rights
d) Member Data Responsibility: The Subscriber is solely responsible for the accuracy, security, and lawful processing of all club member data entered into the system. This includes compliance with data protection regulations such as KVKK and GDPR.
e) Plan Limits Compliance: Subscribers must not exceed the limits specified in their subscription plan (member count, court count, student count). The Company reserves the right to suspend service or require a plan upgrade if limits are consistently exceeded.
Company Rights and Obligations
a) Service Availability: The Company will make reasonable efforts to maintain service availability and system security. However, the Company does not guarantee 100% uptime or uninterrupted access.
b) Maintenance and Updates: The Company reserves the right to perform scheduled maintenance, security updates, and system upgrades. Users will be notified in advance of planned maintenance when possible.
c) Service Modifications: The Company reserves the right to modify, add, or remove features from any subscription plan with reasonable notice to subscribers. Significant changes will be communicated at least 30 days in advance.
d) Suspension or Termination: The Company reserves the right to suspend or terminate a Subscriber's access to the Service if:
• Payment is not received by the due date
• Terms of Service are violated
• Illegal or fraudulent activity is detected
• The Service is used in a manner that harms other users or the system
e) Data Protection: The Company will process and store Subscriber data in accordance with applicable data protection laws and our Privacy Policy.
Limitation of Liability
a) Service Warranty: The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
b) Liability Cap: To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service is limited to the amount paid by the Subscriber for the Service in the 12 months immediately preceding the claim.
c) Exclusions: The Company shall not be liable for:
• Loss of data due to Subscriber error, device failure, or force majeure
• Service interruptions caused by third-party services, internet connectivity issues, or circumstances beyond the Company's control
• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business opportunities, or reputation
• Any damages arising from unauthorized access to Subscriber accounts
d) Third-Party Services: The Service may integrate with or rely on third-party services (payment processors, notification services, etc.). The Company is not responsible for the performance, availability, or security of these third-party services.
Intellectual Property Rights
All software, designs, interfaces, trademarks, logos, and content related to Tennisium Club Manager are the exclusive property of the Company and are protected by intellectual property laws. Subscribers are granted a limited, non-exclusive, non-transferable license to use the Service during their active subscription period. Subscribers may not:
• Copy, modify, or reverse-engineer any part of the Service
• Remove or alter any proprietary notices or labels
• Use the Company's trademarks or branding without written permission
• Create derivative works based on the Service
Data Ownership and Privacy
a) Subscriber Data Ownership: All club member data, reservations, academy records, and other information entered by the Subscriber remains the property of the Subscriber.
b) Data Processing: The Company processes Subscriber data solely for the purpose of providing the Service and in accordance with our Privacy Policy and applicable data protection laws.
c) Data Export: Subscribers may request a copy of their data during their active subscription period by contacting support.
d) Data Security: The Company implements industry-standard security measures to protect Subscriber data. However, no system is completely secure, and Subscribers acknowledge the inherent risks of transmitting data over the internet.
Personal Data Protection (KVKK Compliance)
In accordance with the Turkish Personal Data Protection Law No. 6698 ("KVKK"):
a) Data Controller Responsibility: The Subscriber acts as the data controller for all club member personal data entered into the system. The Subscriber must ensure compliance with KVKK requirements, including obtaining necessary consents from club members.
b) Company as Data Processor: The Company acts as a data processor, processing personal data on behalf of the Subscriber solely for the purpose of providing the Service.
c) Data Subject Rights: Club members have the right to access, correct, delete, and object to the processing of their personal data. The Subscriber is responsible for facilitating these requests.
d) Data Retention: Personal data is retained for the duration of the active subscription period and for up to 3 months after subscription expiration, after which it may be permanently deleted.
e) Contact for Data Requests: Subscribers may contact the Company regarding data protection matters at contact@tennisium.com.
Dispute Resolution and Chargebacks
a) Good Faith Resolution: Both parties agree to attempt to resolve any disputes through good faith negotiation before pursuing legal action.
b) Chargeback Policy: Initiating a chargeback without first contacting our support team to resolve the issue may result in immediate account suspension and denial of future service. Chargebacks for services already rendered and used will be contested.
c) Documentation: In the event of a payment dispute, the Company will provide evidence of service delivery, including:
• Payment transaction records and confirmation
• Service usage logs showing active use of the platform
• Access logs demonstrating login and system usage
• Digital acceptance of these Terms of Service
d) Legal Costs: If legal action is necessary to resolve a dispute, the prevailing party may be entitled to recover reasonable attorney fees and costs.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Türkiye. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts and enforcement offices of Sakarya, Türkiye.
Updates to Terms of Service
The Company reserves the right to modify these Terms of Service at any time. Material changes will be communicated to active subscribers via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes are published constitutes acceptance of the updated terms. The current version of these Terms will always be available at https://tennisium.com.
Severability
If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement
This Agreement, together with the Privacy Policy and any other policies referenced herein, constitutes the entire agreement between the Subscriber and the Company regarding the use of Tennisium Club Manager and supersedes all prior agreements and understandings, whether written or oral.

Acceptance of Terms
By clicking "I Agree," "Subscribe," or by using the Service after the free trial period, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not subscribe to or use the Service.
